Terms of Service

These Terms of Service ("Terms") govern your use of apexroute.us (the "Site") and the truck dispatch services offered by ApexRoute ("we", "us", "our"). By using the Site or our services, you agree to these Terms.

Our services

ApexRoute provides truck dispatch and related back-office services to independent motor carriers and owner-operators. We search for loads, communicate and negotiate with brokers and shippers on your behalf, and help with related paperwork. We are a dispatch service: we are not a motor carrier, freight broker, insurer, factoring company or legal or tax advisor.

Your authority and responsibilities

• If you operate under your own authority, you must hold active Motor Carrier (MC) and USDOT authority and keep all required licenses, registrations and insurance in force.
• If you lease on and operate under ApexRoute's authority, a separate lease agreement sets out the terms, including insurance, equipment, compliance and payment requirements. That agreement controls if it conflicts with these Terms.
• You are solely responsible for operating your equipment safely and legally, including hours-of-service, weight limits, permits, cargo securement and maintenance.
• You decide which loads to accept. We present load details before booking, and you may decline any load.
• The information you give us must be accurate and kept up to date.

Fees and payment

Our fee is a percentage of the gross revenue of each load we dispatch for you, as shown on our pricing section or agreed with you in writing. Fees may differ for new authorities and local or in-state-only carriers. Fees are due as described in your dispatch agreement. Any free trial period is described at signup.

No contract lock-in

You may stop using our services at any time by notifying us. Fees for loads dispatched before you stop remain payable.

Exclusivity

While you work with us, we act as your dedicated dispatch team, and you agree not to use another dispatch service at the same time, as described in our FAQ and your dispatch agreement.

Third parties

Loads, payments and services may be provided by third parties such as brokers, shippers, load boards, factoring companies, insurers, fuel card and ELD providers. We are not responsible for their acts, omissions, payment delays or terms. Any agreement you make with them is between you and that third party.

No guarantee of results

We work to find well-paying freight, but we do not guarantee any specific number of loads, rates, miles or income.

Limitation of liability

To the fullest extent permitted by law, ApexRoute is not liable for any indirect, incidental, special or consequential damages, or for lost profits, cargo loss or damage, accidents, fines or penalties arising from your operations or from third parties. Our total liability for any claim related to our services is limited to the dispatch fees you paid us for the load giving rise to the claim.

Indemnification

You agree to indemnify and hold ApexRoute harmless from claims, losses and expenses arising from your operation of your equipment, your breach of these Terms, or your violation of any law or third-party right.

Website use

The content of the Site is provided for general information and may change without notice. You may not misuse the Site, attempt to disrupt it, or copy its content for commercial use without our permission.

Governing law

These Terms are governed by the laws of the State of TX, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in that state.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top shows when they were last changed. Continued use of the Site or our services means you accept the updated Terms.
